Discover Warren By-Laws

Statement of Purpose:

Discover Warren celebrates Historic Downtown Warren through community events and works in conjunction with individuals and groups to bring people to Warren. Discover Warren is open to all members of the community.

The following positions constitute the Executive Board of Discover Warren.

President: create meeting agenda, guide discussion of meetings. Attends monthly Town meetings.

Vice President: introduce members of the community to Discover Warren & act as stand in for President if unable to fulfill his/her duties

Secretary: take minutes at each meeting and post minutes on Discover Warren website. Post meeting schedule in the East Bay Newspapers & on the Discover Warren website. Maintains member list. Also acts as liaison to website designer.

Treasurer: responsible for deposits, payment of bills and creation of budget.

Chairmen of Marketing: research marketing and public relations opportunities & coordinate the marketing committee to work with the events committee to promote Discover Warren.

Chairmen of Events: develop and coordinate events hosted by Discover Warren.

Chairmen of Fundraising: coordinate when, where and how to raise money for Discover Warren.

Nominations & Election of Officers

Nominations for officers will begin at the December general meeting. The deadline for nominations will be December 31st. Notification for the election of officers to the executive board of Discover Warren will be posted on the Discover Warren website, listed in the East Bay Newspapers, and posted wherever the existing executive board determines.

Elections will take place at the January general meeting. Votes will be cast on paper ballots and tallied at the end of the meeting.

Terms

Members elected to the executive board will be elected to such post for one year beginning immediately following the January meeting.

Any officer or director may be removed for just cause at any time by a majority vote of the members of the executive board.

Vacancies

A vacancy in any office by reason of death, disqualification, resignation, removal or otherwise may be filled by the members of the executive board by a majority vote for the unexpired portion of the term.

Quorums & Proxies

A simple majority of the executive board would constitute a quorum.

A member of the executive board who cannot personally attend a meeting of the executive board may vote on a specific issue at a regular or special meeting by written means of communication addressed to the president.

Annual & Additional Meetings

General meetings will occur a minimum of 6 times per year.

The executive board will meet several days before each general meeting.

The executive board may call or cancel an executive board or general meeting at any time.

The annual meeting for Discover Warren will occur in January and will coincide with the election of officers and the beginning of the financial year.

Membership

The general meetings of Discover Warren are open to all interested persons.

To be a voting member at a general meeting of Discover Warren a $10 membership fee must be paid. Membership to Discover Warren must be renewed every 12 months. The membership fee will be waived for the first election, occurring January 4th 2007.
